Confidentiality Clause

गोपनीयता खंड (Gopniyata Khand)
Plain English Definition

A provision in a contract requiring parties to keep certain information secret. Unlike a standalone NDA, a confidentiality clause is embedded within a larger contract. It defines what's confidential, who can access it, and how long the obligation lasts.

Real Indian Example

Your employment contract has a confidentiality clause covering 'all company information.' This is too broad — it could cover even publicly known information. Push for a specific definition: 'information marked confidential or that a reasonable person would consider confidential.'
